End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "you" or "Customer") and Shepherd Software, LLC ("Shepherd," "we," "us," or "our") governing your use of the Shepherd software and services (the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by this Agreement. If you are agreeing on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Subject to your compliance with this Agreement, Shepherd grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

3. Your Data and Content

You retain all rights to the financial data, transaction records, and other content you connect to or upload into the Service ("Customer Data"). You grant Shepherd a limited license to access, process, and display Customer Data solely as necessary to provide the Service to you, including transaction scanning, AI-assisted classification, and syncing with integrations you authorize (such as QuickBooks Online or Xero).

You are responsible for the accuracy of any classification, account mapping, or other bookkeeping decision you confirm within the Service, including AI-suggested classifications you accept.

4. Third-Party Services

The Service integrates with third-party providers, including Plaid (bank connectivity), blockchain networks and RPC providers (on-chain data), CoinGecko (market pricing), and QuickBooks Online or Xero (accounting sync), each governed by their own terms. Shepherd is not responsible for the availability, accuracy, or conduct of these third-party services.

5. Intellectual Property

The Service, including its software, design, and underlying technology, is and remains the property of Shepherd Software, LLC. This Agreement does not grant you any rights to Shepherd's trademarks, logos, or brand features except as necessary to use the Service as intended.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Shepherd does not warrant that the Service will be uninterrupted, error-free, or that any classification, calculation, or output will be accurate or complete. The Service is a bookkeeping and accounting tool, not a substitute for professional accounting, tax, or legal advice — you remain responsible for the accuracy of your books and for consulting a qualified professional as needed.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEPHERD SOFTWARE, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Shepherd's total liability arising out of or related to this Agreement will not exceed the amount you paid to Shepherd in the twelve (12) months preceding the claim.

8. Term and Termination

This Agreement remains in effect for as long as you use the Service. You may stop using the Service and close your account at any time. Shepherd may suspend or terminate your access if you violate this Agreement, or for any reason with reasonable notice. Upon termination, your license to use the Service ends immediately, though provisions of this Agreement that by their nature should survive (including Sections 5, 6, 7, and 9) will continue to apply.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this Agreement will be resolved in the state or federal courts located in San Francisco, California, and you consent to the exclusive jurisdiction of those courts.

10. Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will notify you by email or through the app. Continued use of the Service after a change takes effect constitutes acceptance of the updated Agreement.
